1. Acceptance of Terms
By accessing or using the Cintram website, platform, or Services provided by Cintram ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Cintram. They apply to all users, including account owners, team members, invited clients, portal users, and visitors. If you do not agree to these Terms, you may not access or use our Services.
2. Definitions
- "Cintram," "we," "us," or "our" means Cintram Inc., a Texas-based corporation.
- "Services" means the Cintram platform, website, applications, tools, automations, AI features, and related services.
- "Customer" means the person or organization that creates or pays for a Cintram account.
- "Authorized Users" means employees, contractors, clients, or other individuals invited by a Customer to access the account or client portal.
- "End Clients" means clients or customers of a Customer who interact with Cintram through portals, forms, messages, files, or other shared features.
- "User Content" or "Customer Data" means any content, data, files, messages, or information submitted to or processed through the Services by a Customer or their Authorized Users.
- "Subscription" means a paid or trial plan that grants access to the Services.
- "Third-Party Services" means external platforms, tools, or integrations connected to or used alongside Cintram.
3. Description of Services
Cintram provides software tools for service businesses to manage client intake, onboarding, workflows, communications, updates, files, forms, billing-related workflows, client portals, and related operations. Features may vary by plan, configuration, and availability. We may add, change, or remove features as the Services evolve.
4. Account Registration and Authorized Users
4.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. If you are using our Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
4.2 Account Creation
To access certain features, you must create an account. You are responsible for:
- Providing accurate and complete information during registration
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that login credentials are not shared across multiple individuals
4.3 Account Admin Authority
If an account is created on behalf of an organization, the account owner or designated administrators may control access, manage users, view activity, configure settings, and make decisions on behalf of that organization.
4.4 Authorized Users and End Clients
Customers are responsible for all Authorized Users and End Clients who access the Services through their account. You agree to ensure that Authorized Users and End Clients comply with these Terms. Cintram is not responsible for actions taken by Authorized Users or End Clients.
4.5 Account Security
You agree to notify us immediately of any unauthorized use of your account or any other security breach at [email protected].
5. Customer Responsibilities
As a Customer, you are responsible for:
- Ensuring all content, communications, and data you process through Cintram comply with applicable laws
- Obtaining all legally required consents from your contacts, clients, and End Clients before sending communications or collecting data through Cintram
- Ensuring your use of Cintram with End Clients is consistent with your own privacy policy, terms, client agreements, and legal obligations
- Ensuring your Authorized Users and End Clients comply with these Terms
- Determining whether Customer Data includes sensitive, regulated, or special category data and ensuring you have all required notices, consents, agreements, and safeguards before processing that data through the Services
- Maintaining accurate account and billing information
- Exporting and backing up your data before cancellation or account closure
- All actions taken through your account, including by Authorized Users and End Clients
6. Communications, Customer Messaging, and SMS
6.1 Customer Messaging and Consent
Cintram operates on a permission-based communication model. You must obtain all legally required consents before sending marketing emails, SMS messages, or other communications through Cintram. Acceptable methods of obtaining consent include:
- Direct Opt-In: Contacts actively sign up through a form, landing page, or other method indicating their desire to receive communications from you.
- Existing Customer Relationship: Where permitted by applicable law, you may contact customers with whom you have an existing business relationship, provided you honor all opt-outs and comply with all applicable legal requirements.
You are responsible for maintaining proof of consent for every contact on your list. Failure to comply may result in account review, suspension, or termination.
6.2 Communications Compliance
You agree to comply with all applicable anti-spam and communications laws, including CAN-SPAM (United States), CASL (Canada), TCPA (United States), and GDPR/ePrivacy (European Union and United Kingdom) where applicable. You are solely responsible for ensuring that every message sent through Cintram complies with applicable law and that all required consents are in place.
Cintram reserves the right to throttle, review, suspend, or block sending activity that appears to violate these requirements or poses a risk to platform integrity or deliverability.
6.3 SMS Messages from Cintram
If you provide your phone number and opt in to receive SMS communications, you agree to receive account-related text messages from Cintram, such as billing reminders, support updates, security notices, and system alerts. We will not send marketing text messages unless you separately consent to receive them.
Message frequency varies. Standard message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance.
You can manage or opt out of SMS at any time through your account settings or by following the instructions in any message. We use Twilio to deliver SMS communications. Twilio is contractually required to protect your information in accordance with applicable law.
7. User Content and Customer Data
7.1 Ownership
You retain full ownership of all User Content and Customer Data you submit to or process through the Services.
7.2 License
You grant Cintram a limited license to host, store, reproduce, display, transmit, and process User Content solely as necessary to provide, secure, maintain, support, troubleshoot, and improve the Services, comply with applicable law, and as otherwise permitted by these Terms or our Privacy Policy.
We do not sell User Content. We do not use Customer Data to train AI models unless you authorize that use or it is expressly described in a separate agreement or policy.
7.3 Responsibility
You are solely responsible for your User Content and the consequences of submitting or publishing it. You agree that your User Content will not violate any applicable laws or third-party rights.
8. Privacy, Security, and Confidentiality
8.1 Privacy
Your use of our Services is governed by our Privacy Policy, which explains how we collect, use, and protect your information.
8.2 Data Processing Agreement
Customers who require a Data Processing Agreement for GDPR compliance may review our DPA.
8.3 Confidentiality
Each party may receive confidential information from the other in connection with the Services. The receiving party agrees to use reasonable care to protect such information and to use it only for purposes of the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8.4 Data Retention and Deletion
After cancellation or termination, we may retain Customer Data for up to 90 days to allow for account recovery, comply with legal obligations, resolve disputes, prevent abuse, or maintain backups. After that period, we may permanently delete or de-identify Customer Data from active systems in accordance with our data retention practices. Residual copies may remain in backups for a limited period, unless we are required to retain data for legal, security, fraud prevention, or compliance purposes.
Customers are responsible for exporting and backing up their data before cancellation or termination. Cintram is not liable for data loss following account closure.
9. Third-Party Services and Integrations
Cintram integrates with third-party tools, which may include Stripe, Google, and Twilio. These services are governed by their own terms and privacy policies. We select our partners carefully and only share data when it is essential to deliver the features you use.
Cintram is not responsible for third-party service outages, changes, or actions, and your use of those services may require separate accounts or permissions. Integrations may be affected if tokens expire, providers change their APIs, or access is revoked. We are not responsible for data once it is transmitted to a Third-Party Service at your direction.
10. Subscription Fees, Billing, Cancellations, and Refunds
10.1 Subscription Plans
Cintram offers paid subscription plans and a free trial. We may also offer promotional plans or limited access at our discretion. Features and limitations of each plan are described on our Pricing page.
Plans may include usage limits, including limits on users, storage, projects, portals, forms, contacts, messages, automations, AI usage, or other features. We may enforce, update, or adjust these limits as described on our Pricing page, in your account, or in a separate agreement.
10.2 Free Trial
If you start a free trial and provide a payment method, your subscription may automatically convert to a paid subscription at the end of the trial unless you cancel before the trial ends. Trial terms will be disclosed when you sign up.
10.3 Payment
Payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service and authorize recurring billing based on your selected plan. You are responsible for ensuring your payment information is accurate and up to date.
10.4 Renewals
Paid subscriptions renew automatically unless canceled before the renewal date. You can cancel your subscription through your account settings. If you need help, you may also contact [email protected]. Cancellation takes effect at the end of the current billing period unless otherwise stated in our Refund Policy.
10.5 Failed Payments
If a payment fails, we may retry the charge or suspend access to your account until the issue is resolved. You can update your billing information at any time in your account settings.
10.6 Taxes
Unless stated otherwise, prices do not include applicable taxes. You are responsible for any taxes, duties, or levies imposed by applicable law in connection with your Subscription.
10.7 Fee Changes
We reserve the right to change our fees and pricing with 30 days prior written notice.
10.8 Refunds
Except as stated in our Refund Policy or required by law, fees are non-refundable.
11. Acceptable Use
11.1 Lawful Purposes
You agree to use our Services only for lawful purposes and in compliance with these Terms and all applicable laws, regulations, and third-party rights.
11.2 Prohibited Activities
You agree not to use Cintram to:
- Violate laws or infringe others' rights
- Send spam or use purchased or scraped contact lists
- Transmit obscene, sexually explicit, exploitative, hateful, harassing, or abusive content
- Impersonate others or mislead users
- Access or tamper with data you do not own
- Introduce viruses, malware, or malicious code
- Promote scams or misleading schemes
- Collect passwords or sensitive information through forms without authorization
- Scrape, excessively automate, or bypass platform rate limits
- Process sensitive personal data in ways not covered by your own policies and consents
- Use the Services for any high-risk activity where failure could cause harm to individuals or third parties, including emergency services, life-safety systems, medical decisions, or other mission-critical uses
11.3 Suspension Rights
We may suspend or restrict access to the Services if we reasonably believe your account poses a security, legal, operational, payment, spam, abuse, or platform integrity risk. We will make reasonable efforts to notify you where permitted by law.
12. Intellectual Property
12.1 Cintram Ownership
Cintram and its licensors retain all rights, title, and interest in the platform, including software, trademarks, logos, and content, except for User Content. You may not use our intellectual property without our prior written consent.
12.2 Restrictions
You may not copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the Services, except where applicable law permits. You may not use non-public aspects of the Services, documentation, or platform to build a competing product.
13. Beta, AI, and Automation Features
13.1 Beta Features
We may offer beta, preview, or experimental features from time to time. These features may be incomplete, changed, suspended, or discontinued at any time and are provided without warranties or service commitments.
13.2 AI Features: Ayra
Cintram includes AI-assisted features through Ayra, our built-in AI. Ayra may support tasks such as drafting communications, summarizing client information, recommending actions, or automating workflow steps.
AI-generated outputs may be incomplete, inaccurate, or require review. Outputs are provided for convenience and are not legal, financial, tax, medical, or other professional advice. You are responsible for reviewing and approving any content, messages, workflows, or decisions generated by Ayra before relying on them or sending them to clients. Cintram is not liable for actions taken based on AI-generated outputs without human review.
We do not use Customer Data to train AI models unless you authorize that use or it is expressly described in a separate agreement or policy.
13.3 Automations
You are responsible for configuring, testing, monitoring, and approving automations before relying on them in live client workflows. Cintram is not liable for unintended outcomes resulting from automations that have not been properly reviewed and tested.
14. Service Availability and Support
14.1 Availability
We strive to keep Cintram available 24/7. However, we do not guarantee uninterrupted access and are not liable for downtime caused by factors outside our reasonable control. We may occasionally interrupt service for maintenance, upgrades, or emergency repairs and will make reasonable efforts to minimize disruptions. Any availability commitments will be stated in a separate agreement or support policy.
14.2 Support
Support availability, response times, and support channels may vary by plan and are described on our website or within your account.
15. Disclaimer of Warranties
Cintram is provided "as is," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee that customer workflows, automations, forms, messages, integrations, or third-party services will always operate without delay, error, or interruption.
16. Limitation of Liability
To the fullest extent permitted by law, Cintram's total liability to you for any claims arising out of or related to these Terms or your use of our Services shall not exceed the fees paid by you to Cintram in the twelve (12) months preceding the claim.
Cintram shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our Services, even if we have been advised of the possibility of such damages.
17. Indemnification
You agree to defend, indemnify, and hold harmless Cintram and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
- Your misuse of the platform
- Your User Content
- Your violation of these Terms
- Your violation of any applicable laws
- Communications sent through Cintram on your behalf
- Consent failures related to your contacts or End Clients
- Your use of Third-Party Services
- Claims brought by your Authorized Users, End Clients, or other third parties arising from your use of the Services
18. Suspension and Termination
You may stop using the Services or cancel your account at any time through your account settings, subject to any payment obligations and cancellation terms that apply to your Subscription. If you need help, you may also contact [email protected].
We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, engage in abusive or fraudulent activity, pose a risk to platform integrity, or as required by law. Where possible, we will provide notice before termination.
Upon termination, your right to access the Services ends. Customer Data will be retained and deleted or de-identified as described in Section 8.4.
19. Changes to Services and Terms
19.1 Changes to Services
We may update or change parts of Cintram to improve your experience. We are not liable for modifications, suspensions, or discontinuation of features, except where required by law or expressly stated in a separate agreement. If we discontinue a major feature, we will provide reasonable advance notice where possible.
19.2 Changes to Terms
We may notify you by email, in-app message, or by posting an updated version of these Terms. For material updates, we will provide at least 14 days notice before changes take effect where required or appropriate. Non-material changes may take effect immediately. If you continue using Cintram after an update takes effect, you agree to the revised Terms.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms are governed by the laws of the State of Texas, United States, subject to the dispute resolution provisions below.
20.2 Informal Resolution
If a dispute arises, we will first attempt to resolve it informally. Either party may initiate this by sending written notice to the other describing the dispute and desired resolution. Both parties agree to make a good-faith effort to resolve it within 30 days before pursuing formal proceedings.
20.3 Arbitration
If informal resolution fails, you agree to resolve disputes through binding arbitration administered under the AAA Commercial Arbitration Rules, except where AAA Consumer Arbitration Rules are required by applicable law, conducted in English in Dallas County, Texas. Each party is responsible for its own arbitration fees unless the arbitrator determines otherwise. Judgment on any arbitration award may be entered in any court with jurisdiction.
Either party may bring an individual claim in small claims court if the claim qualifies.
This arbitration clause does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property, confidentiality, or urgent harm.
20.4 Class Action Waiver
You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against Cintram. All disputes must be brought individually.
20.5 Venue
For any matters not subject to arbitration, the exclusive venue shall be the state and federal courts located in Dallas County, Texas.
21. Miscellaneous
21.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
21.2 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Cintram.
21.3 Assignment
You may not assign any of your rights or obligations under these Terms without our prior written consent. Cintram may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, or to an affiliate or successor.
21.4 Force Majeure
Cintram shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemics, or internet infrastructure failures.
21.5 DMCA

21.6 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, DMCA Policy, and any applicable DPA, constitute the entire agreement between you and Cintram regarding the Services and supersede all prior agreements or understandings.
21.7 Survival
Provisions that by their nature should survive termination will survive, including sections relating to fees owed, User Content, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.
